Good corporate governance is an essential element for the creation of value, for improving economic efficiency and also to strengthen the trust of investors. In Spain, in recent years, a lot has been done in this area.

In connection with this matter, we may provide the following services:

• Advice in relation with the corporate governance system of the company. In case of private companies, we may suggest to consider some of the principles laid down by the Code of Good Corporate Governance for public companies, those which may be interesting to adopt even if the company is not legally obligated to do so.

• General Ordinary and Extraordinary Shareholders’ and Board of Director’s Meetings. Drawing-up and management of all the documents related to the mentioned meetings. Our firm can also directly deliver an English or French translation of any of the above documents if so requested by a shareholder or director.

• Acting as Secretary of the Board of Director’s Meeting and legal advisor of the company, assuming the functions laid down in the Bylaws of the Company and the Corporate Enterprises Act:

«a) To store the  documentation of the Board of Director’s Meetings, keep records of the meetings in the official minutes and certify the content thereof and of the adopted resolutions.

b) To ensure that the activities of the Board of Director’s Meetings comply with the applicable rules and in accordance with the company bylwas and other internal standards.

c) To assist the chairman in order for the directors to receive relevant information for their work sufficiently in advance and in the appropriate format.»
